1. Acceptance of Terms
By accessing or using Nexus ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
2. Description of Service
Nexus is a collaborative workspace platform that provides:
- Project and task management tools
- File sharing and storage
- Team collaboration features
- Interactive games and entertainment features
- Real-time communication tools
- Invoice creation and management
- Forms and client submission tools
- Client relationship management
- Customizable invoice templates
- Wiki and documentation features
- Asset management (equipment, software, and inventory tracking)
- Calendar and scheduling
- Analytics and reporting
- Multi-currency workspace support
- Snake Game with Leaderboard (single and multiplayer)
- Crazy Eights (Multiplayer Card Game)
- The Garden (shared workspace garden—plant, water, harvest)
3. Subscription Plans and Pricing
Nexus is a paid service. New users receive a 14-day free trial with full Pro plan access. A subscription is required to continue using the Service after the trial ends.
Free Trial
- New users receive a 14-day free trial with full access
- No credit card required to start
- At trial end, your account enters a grace period with limited access unless you subscribe
- One trial per user
- Grace period: Temporary limited access (1 workspace, 3 users, 100 MB storage, basic collaboration, Snake single-player). Forms, invoicing, assets, analytics, and premium games require a subscription. The grace period does not last forever; you must subscribe to continue using the Service.
All paid plans (Pro, Business, Enterprise) include the same features. Plan differences are capacity only (workspaces, users, storage, invoices).

4. Billing and Payment
Free Trial
- No payment method is required to start your free trial
- You will not be charged unless you choose to subscribe
- At trial end, you must subscribe to continue using the Service
- If you do not subscribe, your account enters a grace period with limited access; the grace period does not last forever
Payment Terms
- All prices are in Canadian Dollars (CAD)
- Subscriptions are billed monthly in advance
- Subscription payment is processed through Stripe, our secure payment processor
- You authorize us to charge your payment method for the subscription fee and any applicable taxes
- Invoice payments: Workspace owners may connect their own payment accounts (Stripe Connect or Square OAuth) to receive invoice payments directly. When connected, invoice payments are processed by the workspace owner's connected account, not the platform
Automatic Renewal
- Subscriptions automatically renew at the end of each billing period
- You will be charged the subscription fee unless you cancel before the renewal date
- We will send you a reminder email before each renewal
Price Changes
- We may change subscription prices with 30 days' notice
- Price changes will be communicated via email
- Continued use of the Service after price changes constitutes acceptance of new pricing
Currency and International Payments
- All prices are listed in Canadian Dollars (CAD)
- Stripe, our payment processor, automatically handles currency conversion for international customers
- Your bank or card issuer may charge foreign transaction fees
- Stripe automatically calculates and collects applicable taxes based on your location:
- Canadian customers: GST/HST based on province or territory (rates vary by province; Nova Scotia HST is 14% as of April 2025)
- International customers: VAT, sales tax, or other applicable taxes
- Tax amounts are shown at checkout before payment
- Invoices and receipts include all applicable taxes
Multi-Currency Workspace Feature
- Workspaces can configure their preferred currency for internal financial displays
- This affects task budgets, hourly rates, invoices, and analytics within the workspace
- Subscription billing is always in CAD regardless of workspace currency settings
- Currency settings do not affect the amount charged to your payment method
- Invoices generated within workspaces can be created in the workspace's configured currency
- Currency conversion is not provided; workspace currency is for display purposes only
5. Cancellation and Refunds
Cancellation
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- You will retain access to paid features until the end of your billing period
- Upon cancellation, your account enters a grace period with limited access; the grace period does not last forever
Refunds
- Refunds are not provided for partial months of service
- Refunds may be provided at our discretion for technical issues or billing errors

6. User Accounts and Responsibilities
Account Creation
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorized use of your account
Acceptable Use
You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Violate any laws or regulations
- Infringe on intellectual property rights
- Transmit harmful or malicious code
- Attempt to gain unauthorized access to the Service
- Use the Service to harass, abuse, or harm others
- Share inappropriate or offensive content
Content Responsibility
- You are responsible for all content you upload or share
- You retain ownership of your content
- You grant us a license to use your content to provide the Service
- We may remove content that violates these Terms
Invoice and Client Data Responsibility
- You are responsible for the accuracy of invoice data you create
- You are responsible for ensuring compliance with applicable tax laws and invoicing regulations
- You are responsible for maintaining accurate client information
- You must have appropriate consent to store and process client information
- Nexus is not responsible for the accuracy, legality, or validity of invoices you generate
- You must comply with all applicable accounting and financial regulations in your jurisdiction
7. Privacy and Data Protection
Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information in compliance with Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA).
8. Intellectual Property
Our Rights
- The Service and its original content, features, and functionality are owned by Nexus
- The Service is protected by copyright, trademark, and other intellectual property laws
Your Rights
- You retain ownership of content you create and upload
- You grant us a non-exclusive license to use your content to provide the Service
9. Service Availability
Uptime
- We strive to maintain high service availability but cannot guarantee 100% uptime
- We may perform scheduled maintenance with advance notice
- We may suspend service for emergency maintenance or security issues
Data Backup
- We maintain regular backups of user data
- However, you are responsible for backing up your important data
- We are not liable for data loss
Data Export
- You may export your data at any time through your account settings
- Personal data export: Profile, preferences, subscription, workspace memberships, notifications, invites, and security activity (JSON format)
- Workspace data export (creator only): Tasks, messages, files, invoices, clients, assets, forms, form submissions, calendar events, wiki pages, automation rules, and more in a ZIP archive
- Invoice data is available in PDF and structured formats
- Client data can be exported in common data formats
10. Invoice and Financial Tool Disclaimers
No Financial or Legal Advice
- The invoice generation and financial tools are provided for your convenience only
- We do not provide financial, accounting, tax, or legal advice
- You should consult with qualified professionals regarding your financial and tax obligations
Invoice Accuracy and Compliance
- You are solely responsible for the accuracy of all invoice data
- You are responsible for compliance with all applicable tax laws and regulations
- We do not verify the accuracy or legality of invoices you generate
- We are not responsible for any financial losses resulting from incorrect invoices
Tax Calculations
- Any tax calculation features are provided for convenience only
- We do not guarantee the accuracy of tax calculations
- You are responsible for ensuring correct tax treatment of all invoices
- For Canadian invoices: GST/HST and provincial sales tax (PST, QST, RST) are calculated based on client province or territory; in provinces with separate GST and provincial tax (e.g., BC, MB, SK, QC), these may be shown as separate line items per CRA and provincial requirements
- Consult with a tax professional for specific tax advice
Currency Handling
- Currency display is for informational purposes only
- We do not provide currency conversion services
- Exchange rates, if displayed, are for reference only and may not reflect actual market rates
- You are responsible for accurate currency handling in your invoices
11. Limitation of Liability
To the maximum extent permitted by Canadian law:
- The Service is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim
- We are not liable for any financial losses resulting from invoicing errors or inaccuracies
- We are not liable for tax penalties or legal issues arising from your use of the Service
12. Indemnification
You agree to indemnify and hold harmless Noobiesoft and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
13. Termination
By You
- You may terminate your account at any time
- Termination is effective immediately upon cancellation
By Us
We may terminate or suspend your account if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay subscription fees
- Use the Service in a way that harms other users
14. Changes to Terms
- We may modify these Terms at any time
- Material changes will be communicated via email with 30 days' notice
- Continued use of the Service after changes constitutes acceptance of new Terms
15. International Use and Export Controls
International Customers
- The Service is available to customers worldwide
- All prices are in Canadian Dollars (CAD) with automatic currency conversion
- You are responsible for compliance with local laws and regulations in your jurisdiction
- You must ensure your use of the Service complies with applicable data protection laws
- Some features may be restricted or unavailable in certain jurisdictions
Export Control Compliance
- You agree to comply with all applicable export control and sanctions laws
- You may not use the Service if you are located in, or a resident of, any country subject to Canadian or international sanctions
- You may not use the Service if you are on any government restricted parties list
- You may not export or re-export any data or technical information obtained through the Service in violation of applicable laws
Data Sovereignty
- Your data may be stored and processed in Canada or other jurisdictions where our service providers operate
- We ensure appropriate safeguards are in place for international data transfers

16. Governing Law
These Terms are governed by the laws of Canada and the province in which Noobiesoft operates. Any disputes will be resolved in the courts of that jurisdiction.
For international customers:
- Governing law provisions do not affect your statutory rights under local consumer protection laws
- You may have additional rights under your local jurisdiction's consumer protection regulations
